Pre-Closing Services

We provide strategic advice related to valuation to companies or individuals looking to make an investment or divest from a private company through equity investment, merger or acquisition. We help our clients determine the appropriate price to be paid for the transaction and determination of a swap ratio.

  • Discussing with Management and identifying the current stage of the transaction;
  • Understanding the business and preparing business plans, pitch decks, investor presentations and information memorandums;
  • Preparation of any other marketing/due diligence documents;
  • Identifying and documenting synergies arising from the transaction for both parties and assessing the impact on the valuation of these synergies;
  • Review and analysis of the target company financials;
  • Provide any industry/market research and insights as necessary
  • Industry and competitor analysis including benchmarking the KPIs and financial metrics of the target company with the market and competitors;
  • Identifying third-party advisors and domain experts required for successful closure the transaction;
  • Identifying potential buyers/targets for the client;
  • Evaluating any interests, letter of intents, bids and proposals received by the client;
  • Assist in documenting and drafting the letter of intent;
  • Evaluating agreements and advising clients with the pros and cons;
  • Determining the Impact and probability of contingent consideration;
  • Valuing buyer shares, restricted shares, stock options or convertible debt proposed to be issued as a part of the transaction
  • Pre-deal purchase price allocation to assess the impact on the amortization, taxation, cash flow and profitability of the buyer

Post-Closing Services

  • Preparation of opening balance sheet and consolidated financials;
  • Performing necessary valuations after the closing of the transaction (Purchase Price Allocations, Impairment Analysis, etc.
  • Handling any compliance requirements, including regulatory filings, valuations and any other items that arise through the course of the engagement;
